DLS Law Offices is inviting applications for the position of Associate – General Corporate / PE-VC / M&A at its Noida office. The role is suited to legal professionals with approximately 2 years of PQE and relevant experience in general corporate advisory, private equity and venture capital transactions, mergers and acquisitions, and related commercial matters.
• Advise clients on general corporate and commercial matters
• Assist with private equity and venture capital transactions
• Support mergers and acquisitions and corporate restructuring
• Conduct legal research, analysis and transaction-related due diligence
• Draft, review and negotiate Shareholders’ Agreements, Investment Agreements and Share Purchase Agreements
• Prepare transaction documents, board and shareholder resolutions, legal opinions and advisory memoranda
• Assist in structuring and executing PE/VC investments, funding rounds and strategic transactions
• Advise on regulatory compliance, corporate governance and statutory requirements
• Work with partners and clients on transaction strategy, negotiations, documentation and execution
• Manage multiple matters and transaction timelines effectively
• Approximately 2 years of PQE
• Relevant experience in General Corporate Advisory, PE/VC and/or M&A
• Strong legal research, drafting and analytical skills
• Excellent written and verbal communication skills
• Sound commercial understanding and practical approach to legal issues
• Strong attention to detail and ability to manage multiple matters
• High standards of integrity, accountability and professionalism
