One Story is hiring a Senior Associate – M&A for its Bengaluru and Kolkata offices. The role involves working on mergers and acquisitions, corporate restructuring, transaction documentation, due diligence, regulatory analysis, schemes of arrangement, corporate actions, and NCLT-related matters.
• Draft and review reports, legal advice, opinions, proposals, emails, and presentations
• Analyse legal, tax, regulatory, accounting, and commercial implications of transactions
• Identify suitable restructuring options based on client objectives
• Draft and review transaction documents including Business Transfer Agreements, Share Purchase Agreements, Subscription Agreements, Trust Deeds, and Asset Sale/Purchase Agreements
• Assist with mergers, demergers, capital reductions, and other schemes of arrangement
• Draft schemes, applications, petitions, and notices and assist with NCLT proceedings
• Conduct buy-side and sell-side tax due diligence
• Assist with corporate actions including securities issuances and buy-backs
• Identify transaction risks and suggest practical solutions
• Support business development and identify potential restructuring opportunities
• Contribute to internal knowledge management and knowledge-sharing initiatives
• Relevant experience in M&A, corporate restructuring, or transaction advisory
• Strong understanding of Company Law and M&A transactions
• Knowledge of SEBI, FEMA, taxation, stamp duty, accounting, and related regulatory requirements
• Experience in drafting and reviewing transaction documentation
• Ability to conduct due diligence and identify legal and commercial issues
• Strong analytical, drafting, communication, and client-management skills
