A reputed corporate law firm based in Gurgaon, focusing on high-value transactional matters including M&A, Private Equity/Venture Capital, commercial contracts and corporate advisory.
• Conduct legal due diligence and prepare due diligence reports.
• Draft, review and negotiate SPAs, SSAs, SHAs, BTAs and other transaction documents.
• Prepare closing binders, disclosure letters and conditions precedent/subsequent checklists.
• Handle regulatory filings and end-to-end transaction execution.
• Draft and negotiate commercial contracts, NDAs, service agreements and licensing agreements.
• Advise on corporate governance, Companies Act compliance, FDI regulations and related regulatory matters.
• Coordinate with partners, senior associates, clients and counterparty counsel.
• LL.B./LL.M. from a recognised law school with active Bar Council registration.
• 1–3 years of substantive corporate law firm experience.
• Experience in M&A, PE/VC transactions, commercial contracting and corporate advisory is mandatory.
• Strong knowledge of Companies Act, FEMA/FDI Regulations, SEBI guidelines and contract law.
• Strong skills in legal research, contract drafting, due diligence and transaction management.
• Candidates must be based in or willing to immediately relocate to Gurgaon.
• Candidates with purely litigation or non-transactional backgrounds will not be considered.
