The organisation is hiring for a Legal Advisory (Investment Banking) role. The position involves working closely with investment banking teams on fundraising, M&A, private capital market transactions, legal structuring, and regulatory advisory.
• Lead legal due diligence for equity and debt fundraising, M&A, and joint ventures
• Draft and review investment agreements, share purchase agreements, term sheets, and shareholder agreements
• Advise on SEBI regulations, including ICDR and LODR Regulations
• Handle FEMA compliance and RBI guidelines relating to foreign investment and cross-border transactions
• Coordinate with external counsel and internal investment banking teams
• Prepare and review board minutes, ESOP documentation, and corporate governance records
• Conduct training sessions for investment banking teams on legal aspects of deal structuring and regulatory developments
• Expertise in SEBI Regulations
• Knowledge of FEMA compliance and ICDR Guidelines
• Strong understanding of Share Purchase Agreements and Term Sheet Drafting
• Experience in due diligence management and corporate governance
• Knowledge of investment banking transactions
• Experience with LLP and Section 8 Company structuring is preferred
• Familiarity with VC and PE term sheet provisions, including anti-dilution and liquidation preference clauses, is preferred
• Working knowledge of LexisNexis or SCC Online is preferred
