The organisation is hiring a Head – Legal & Secretarial (Sr. Manager / Group Head) to oversee legal, corporate governance, compliance, secretarial, transactional, and litigation functions across the organisation.

The role involves strategic advisory responsibilities for the Board and senior management, while ensuring comprehensive compliance with corporate and regulatory frameworks.

Candidates with hands-on experience in both legal and company secretarial work are strongly preferred.

  • Ensure compliance under the Companies Act and applicable statutory laws
  • Advise the Board and management on governance and compliance matters
  • Conduct and manage Board Meetings, Committee Meetings, and AGMs
  • Prepare agendas, notices, resolutions, and minutes
  • Maintain statutory registers and filings with RoC and regulatory authorities
  • Handle compliance and secretarial audits

  • Contracts & Transactional Legal Support

    • Draft, review, and negotiate:
      • Concession Agreements
      • MoUs
      • PoAs
      • NDAs
      • Settlement Agreements
      • Service Agreements
      • Loan Agreements
      • Marketing Support Agreements
      • Leave & License Agreements
      • Advertisement and property acquisition agreements
    • Vet RFPs and third-party agreements
    • Identify legal risks and recommend mitigation strategies
    • Handle written representations before authorities

    Regulatory & Business Advisory

    • Advise business teams on operational and legal compliance matters
    • Liaise with municipal, regulatory, and government authorities
    • Track and communicate legal and regulatory developments

    Litigation & Dispute Management

    • Manage litigation, arbitration, writs, criminal complaints, and recovery matters
    • Coordinate with external counsels and senior advocates
    • Vet pleadings and monitor legal proceedings
    • Maintain litigation MIS and reporting systems
  • Qualification

    • Company Secretary (ACS/FCS)
    • LL.B. / LL.M. from a recognised institution

    Experience

    • 10–12 years of corporate legal experience
    • Strong exposure to:
      • Commercial transactions
      • Secretarial functions
      • Litigation management

    Preferred Background

    • Experience in regulated industries or corporate sector
    • Prior in-house legal counsel experience in a listed company preferred
  • Applicants from Delhi NCR only
  • Litigation and legal administration experience preferred
  • Ability to commute/travel for work-related responsibilities
